These Asana Product-Specific Terms (“Product-Specific Terms”) form part of the Asana Subscriber Terms or other existing customer agreement between Asana and Customer applicable to use of the Asana Service (the “Agreement”) and apply only to the extent Customer uses the applicable feature, service or product, or exercises the rights, identified below. All capitalized terms not defined in these Product-Specific Terms have the meanings given to them in the Agreement. In the event of any conflict between these Product-Specific Terms and the Agreement, these Product-Specific Terms control.
Pursuant to the terms below, Asana grants Customer a non-exclusive, revocable, non-transferable, limited right to access and use Asana AI in accordance with the Agreement.
Asana AI. As used herein, “Asana AI” means Asana features and functionality of the Service made available to Customer that use artificial intelligence and/or machine learning (“AI/ML”), as further described in the Documentation; “Input” means any prompt, data, text, or other similar content Customer or any End User submits to the Service to be processed by Asana AI; and “Output” means any data, text or similar content generated by Asana AI and returned to Customer or an End User, as applicable, based on Input.
Ownership. Customer Data includes Input and Output. As between the parties and to the extent permitted by applicable law, Customer retains all right, title, and interest in Input and Output. Asana retains all right, title, and interest in Asana AI (including improvements and enhancements to Asana AI, along with new products and features).
AI Limitations; Disclaimer. Asana AI uses AI/ML, which generates predictions based on patterns in data. Customer acknowledges the probabilistic nature of AI/ML, and Customer is responsible for evaluating Asana AI and Output for accuracy and suitability for Customer’s use case(s), including, without limitation, by testing, obtaining any relevant approval(s), and employing appropriate human oversight. Asana makes no warranty regarding the accuracy, completeness, or reliability of the Output and disclaims liability for Customer’s use of Output or any omissions or errors therein.
Obligations. Neither Customer nor its End Users may represent that Output was human-generated. Customer will use Asana AI consistent with any restrictions and obligations applicable to its use of the Service as set forth in the Agreement. Asana uses technology provided by its third-party AI partners in Asana AI; Customer’s use of Asana AI will comply with the applicable third-party AI partner terms and policies available here, which are incorporated herein by reference.
Improving Asana AI. Customer’s use of Asana AI does not grant Asana any right or license to use or share Customer Data in a manner that is inconsistent with the Agreement, unless otherwise agreed by Customer. For purposes of clarity, Asana does not use or permit third-party AI partners to use Customer Data to train generative artificial intelligence models used to provide Asana AI.
Beta AI Services. Customer may be provided with access to beta, trial, proof of concept, or sandbox versions of Asana AI features (“AI Beta Services”). Customer acknowledges and understands that its use of the AI Beta Services is not required and is at Customer’s own risk. AI Beta Services are made available on an “as is” basis without warranties of any kind, may be discontinued or modified at any time, and may be subject to other terms.
The following terms apply to purchases of AI Studio Add-On Products.
AI Studio Platform. Asana’s AI Studio platform (“AI Studio Platform”) is designed to allow End Users to build Smart Workflows, which are rule-based automations that use artificial intelligence. See different AI Studio Platform subscription plan options here.
AI Studio Term. The “AI Studio Platform Product Term” refers to the initial subscription period to AI Studio Platform and, thereafter, each renewal term as applicable.
AI Studio Platform Credits. Based on the applicable subscription plan, Asana will provide Customer with Platform Credits (“Platform Credits”) for data processing in the AI Studio Platform, as further described in Section 4 below. Platform Credits are provided on a quarterly or monthly basis over the AI Studio Platform Product Term, with amount and frequency based on the subscription plan purchased (each quarterly or monthly period, as applicable, a “Credit Period”).
Platform Credit Consumption. Platform Credit consumption is calculated by the volume of data, including query, input, and output data, processed through the large language model selected by the End User for a Smart Workflow. Customer is solely responsible for Platform Credits consumed. Any estimate provided regarding consumption of Platform Credits is for informational purposes only and it is not a representation or guarantee. All Platform Credits unused at the end of a Credit Period automatically expire at the end of that Credit Period. Expired Platform Credits cannot be carried over from one Credit Period to the next. Platform Credits are non-transferable.
Additional Platform Credits. During an AI Studio Platform Product Term, Customer may purchase additional set increments of Platform Credits for use during specified Credit Periods, and can only be used in the corresponding plan (e.g., incremental Platform Credits purchased under the AI Studio Plus plan may not be used with the AI Studio Pro plan).
The following terms apply to purchases of Enterprise+ Unbundling Add-Ons, which currently include Permissions Management Add-On and Compliance Management Add-On (each, an “Add-On Product”).
End User Requirements. The quantity of Customer’s Add-On Product End Users must equal the Customer’s Asana Enterprise Subscription End Users. If Customer increases the number of Asana Enterprise Subscription End Users, Asana will invoice Customer for both the increase in Asana Enterprise Subscription End Users and Add-On Product End Users in accordance with the terms of the Agreement.
The following terms apply to purchases of the Data Residency Add-On.
Data Residency Add-On. Customer will - after migration from an AWS-operated data center in the United States - have its Organization’s Customer Data hosted in an AWS-operated data center in the location listed in the Data Residency SKU listed on the applicable Order Form. As an exception to the foregoing, Customer acknowledges and agrees that the following types of Customer Data shall remain in an AWS-operated data center in the United States: profile information submitted by End Users including email address as well as the organizations to which such End Users have access. Due to Asana’s infrastructural setup, the migrations will happen for the Customer’s entire organization and any of its Ends Users. The following terms apply to purchases of the Enterprise Key Management (“EKM”) Add-On.
For use of the EKM Add-On, Customer must set up AWS KMS keys in Customer’s own AWS account. More information is provided here.
Customer acknowledges and agrees that some features and elements of the Service are not compatible with EKM and as such will remain unencrypted. These include the following features, which may be updated from time to time within the Documentation:
Third Party Services, and related metadata;
Profile images; and
Videos created within the Service.
Customer acknowledges and agrees that the following elements of the Service are shared unencrypted with Asana subprocessors to enable provisioning of the Services:
End Users’ names and email addresses
Team names
The quantity of Customer’s EKM End Users must equal the Customer’s Asana Enterprise Subscription End Users. If Customer increases the number of Asana Enterprise Subscription End Users, Asana will invoice Customer for both the increase in Asana Enterprise Subscription End Users and EKM End Users in accordance with the terms of the Agreement. The two Subscriptions will be billed together under the name “Asana Enterprise" in invoices to Customer.
The following terms apply to purchases of Asana Gov Services.
Asana Gov Services. For SaaS Services provisioned in a FedRAMP authorized environment ("Asana Gov Services"), Customer acknowledges that Asana Gov Services will only meet the standards of an authorized FedRAMP service if Customer complies with the security controls set out in the “FedRAMP Customer Responsibility Matrix (CRM),” available from Asana upon request. The CRM will be considered Asana Confidential Information and subject to the confidentiality terms in the Agreement. Customer is responsible for performing its own risk analysis and monitoring the Customer Data that is processed by the Asana Gov Services. The Asana Gov Services may not be used to process or store classified data.
The following terms apply to switching and deletion requests under the EU Data Act:
This Section applies to requests submitted by an EU Customers (as defined below) for the switching of services or the deletion of data, in accordance with Regulation (EU) 2023/2854 of the European Parliament and of the Council, dated 13 December 2023, concerning harmonized rules on fair access to and use of data (the “EU Data Act”). For the purpose of this Section, a Customer refers to an “EU Customer” which shall mean a Customer registered within a member state of the European Union or European Economic Area (EU/EEA).
A Customer is entitled to initiate a request to: (a) transition the Service and migrate its Customer Data to an alternative third-party provider or to its own on-premise infrastructure (a “Switching Request”), or (b) delete its Customer Data from the Service (“Deletion Request”). All requests must be clearly identified as a request under the EU Data Act and submitted via https://help.asana.com/s/get-support and are subject to a two-month notification period (“Notification Period”). (a) Switching Request
Upon receipt of a valid and complete Switching Request from the Customer’s Super Admin [via the required form], Asana will facilitate the Customer’s request in compliance with the EU Data Act. A Switching Request is considered binding upon its receipt by Asana and may only be modified or rescinded with Asana’s express written consent.
Asana will provide the necessary instructions, as required under the EU Data Act, for the Customer to export its Customer Data. This export must be completed within thirty (30) calendar days following the end of the Notification Period , except as otherwise specified herein (the “Transition Period”).
During the Transition Period Asana shall:
(i) provide reasonable assistance to the Customer and third parties authorised by the Customer in the switching process;
(ii) act with due care to maintain business continuity, and continue the provision of the Services under the Agreement;
(iii) provide clear information concerning known risks to continuity in the provision of the Services on the part of Asana; and
(iv) ensure that a high level of security is maintained throughout the switching process, in particular the security of the data during their transfer and the continued security of the data during the retrieval period in accordance with applicable law.
In the event that Asana deems the standard Transition Period is technically impracticable, Asana will notify the Customer within fourteen (14) business days of receiving the request. This notification will include a detailed explanation of the technical obstacles and propose an alternative timeline for the data export, which shall not exceed seven (7) months.
Customer shall have the right to ask for an alternative Transition Period that is reasonably appropriate under the circumstances, at the time of the request, which shall not exceed seven (7) months.
Asana may, at its discretion, charge the Customer reasonable charges in relation to switching as permitted under the EU Data Act.
(b) Deletion Request
Upon receipt of a valid Deletion Request, Asana will proceed with the deletion of the specified Customer Data in accordance with the procedures and timeframes set forth in the Agreement, and to the extent permitted by applicable law. A Deletion Request is irrevocable and binding upon its receipt by Asana.
Customer represents and warrants that their appointed Super Admin is authorized to submit, on behalf of Customer, any Switching or Deletion Request.
The applicable Order Form(s) shall terminate automatically on the "Effective Termination Date," which is defined as either:
For a Switching Request: upon Customer notifying Asana in writing about the successful export of Customer Data. In the absence of formal notification by Customer, the switching will be deemed successful at the end of the Transition Period.
For a Deletion Request: two (2) months after Asana has received the valid request.
It is expressly understood that such termination does not relieve the Customer of its obligation to pay all fees accrued or payable up to the Effective Termination Date. Furthermore, the Customer shall pay an early termination fee equivalent to all subscription fees that would have been due for the remainder of the subscription term of the relevant Order Form(s). Asana will continue to provide the Services in accordance with the Agreement until the Effective Termination Date.
Customer acknowledges and agrees that:
Asana has relied on the Customer’s fixed duration contract commitments to be able to offer the Services to the Customer for the agreed upon fees and to make investments in developing and improving the Service;
the aforementioned early termination fee is a proportionate penalty for the early termination of a fixed duration contract, which proportionately and effectively balances Asana’s ability to rely on the Customer’s fixed duration contract commitment so that it can invest in developing and improving the Service and the Customer’s ability to switch data processing providers without commercial or contractual obstacles; and
Customer initially had the option to enter into monthly agreements with Asana, but expressly chose to enter into a fixed-term annual or multi-annual agreement with Asana.
In alignment with the EU Data Act, Switching Requests are not applicable to Non-Production Versions of a Service or to services provided for a limited period of time (such as Professional Services), as defined in the Agreement.
Asana disclaims all liability for any damages, losses, costs, or expenses, whether direct or indirect, arising from or in connection with a Switching Request and/or a Deletion Request. This limitation of liability encompasses, but is not limited to, matters concerning Customer Data integrity, data loss, system unavailability, compatibility conflicts, or any other operational disruptions that may arise during or as a consequence of the process.
